IN ANY EVENT, KEYSTONE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS, LOSSES, AND DAMAGES ARISING FROM OR RELATED TO THESE SERVICES OR MATERIALS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU ACTUALLY PAID TO KEYSTONE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (II) ONE HUNDRED POUNDS STERLING (£100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IF SUCH EXCLUSIONS OR LIMITATIONS ARE FOUND TO BE UNENFORCEABLE IN YOUR JURISDICTION, KEYSTONE'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

7. Assumption of Risk

By accessing, using, or relying upon KeyStone services or materials, you expressly acknowledge and agree that you assume all risks associated with such access and use, including but not limited to:

  • Data loss, corruption, or unavailability;
  • Service outages, interruptions, or degradation;
  • Security breaches, unauthorised access, or cyberattacks;
  • Software bugs, defects, errors, or vulnerabilities;
  • Compatibility issues with your hardware or software;
  • Consequences of the beta or development status of the services;
  • Any other risks associated with early-access, beta, or experimental services.

You agree that KeyStone shall not be liable for any of these risks or their consequences, and you assume full responsibility for all risks associated with your use of the services and materials.

8. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS KEYSTONE, ITS FOUNDERS, OPERATORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, LICENSORS, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBTS, PENALTIES, FINES, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATED TO:

  • YOUR USE OF, ACCESS TO, OR INTERACTION WITH KEYSTONE SERVICES OR MATERIALS;
  • YOUR VIOLATION OF THIS DISCLAIMER OR ANY APPLICABLE LAWS OR REGULATIONS;
  • YOUR VIOLATION OF ANY THIRD-PARTY RIGHTS, INCLUDING INTELLECTUAL PROPERTY, PRIVACY, OR CONTRACTUAL RIGHTS;
  • YOUR CONTENT, MATERIALS, OR DATA THAT YOU PROVIDE OR SUBMIT TO KEYSTONE;
  • ANY DISPUTE OR CLAIM BETWEEN YOU AND ANY THIRD PARTY ARISING FROM YOUR USE OF KEYSTONE SERVICES;
  • ANY INJURY, DEATH, OR DAMAGE CAUSED BY YOUR USE OF OR RELIANCE ON KEYSTONE SERVICES OR MATERIALS.

9. Governing Law and Jurisdiction

This disclaimer shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You expressly agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, claims, or proceedings arising from or relating to this disclaimer, the services, or the materials.
